Persons associated with professional corporations — Limitations on personal liability
- No person shall be personally liable for any obligation or liability of any shareholder, director, officer, agent, or employee of a professional corporation solely because the person is a shareholder, director, officer, agent, or employee of the professional corporation.
- In addition, no person shall be personally liable for any obligations or liabilities of a professional corporation solely because the person is a shareholder, director, officer, agent, or employee of the professional corporation.

Effective Dates. Acts 1963, No. 155, § 20: Mar. 5, 1963. Emergency clause provided: “It is hereby determined that it is expedient immediately to amend the corporation laws of this State, in order to provide necessary correlation between them and the practice of professions, in corporate form, so that adequate regulation, safeguards, and supervision may be provided for the public peace, health, safety and welfare. An emergency is therefore declared to exist and this act being necessary therefor, the same shall be effective from and after its passage and approval.”
