2025In a case discussing the companion doctrine of frustration, Chief Justice Traynor said “[t]he question in cases involving frustration is whether the equities of the case, considered in the light of sound public policy, require placing the risk of a disruption . . . on defendant or plaintiff under the circumstances of a given case.” (Lloyd v. Murphy (1944) 25 Cal.2d 48 , 53-54.) Further, an appellant challenging the sufficiency of the evidence has the burden to set forth all the material evidence on the point, not only facts favorable to it.

1975(Lloyd v. Murphy, supra, 25 Cal.2d 48 .) The facts alleged in the case at bench fall far short of pleading a case for the application of the doctrine of frustration. 8 The Times contends that the demurrer was properly sustained for the following additional reasons: (1) The supremacy clause of the federal Constitution deprives a state court of jurisdiction or power to order rescission in the face of the federal court decision ordering divestiture; (2) the action is barred by laches and waivers; and (3) the action is barred by the statute of limitations.

At least two of the elements of a frustration defense— interference with the parties’ recognized purpose in contracting and the near total destruction of counterperformance—are not established in this case.16 With respect to the parties’ purpose in entering the agreement, Lee stated in his declaration that Yellow Cross purchased the laser “for the purpose of expanding our skin care clinic.” But there is no evidence Stearns was aware of Lee’s purpose, let alone that it shared that purpose when it loaned money to Yellow Cross.
